First step to open a company in the Colon Free Zone

Locating your company in the Panamanian Free Zone provides great benefits, primarily in tax and tariff exemptions, plus it has logistics operators that can handle the entire process from making a sale to delivering it to your client throughout Latin America and the Caribbean. The main requirement is to apply for the Operations Key (Clave de Operaciones) in Panama, which is simply a Commercial License issued by the Government of the Republic of Panama that will allow your company to carry out its commercial activity in the Colon Free Zone; the cost of the Notice of Operation will be $2,500 annually, the electronic commercial movement declaration costs $300, and the additional costs explained below will depend on the classification of how you plan to establish your business. This procedure will take no more than 60 days on average for approval.

On the other hand, if you want to register your trademark, you must go to the General Directorate of the Industrial Property Registry of the Ministry of Commerce and Industries of Panama (DIGERPI) to submit the application. After filling out the form and including the additional documents, you must wait approximately one month to get a response.

How to obtain the operations key in the Free Zone?

Operate as a User Company

To open a business in the CFZ, the first thing you must do is register a Corporation (Sociedad Anónima) in Panama and then request the operations key from the Administration, which will allow your company to dispatch products directly from the ports to the commercial premises within the Free Zone; obtaining the benefit of 0% on some tariffs and taxes, as well as facilities to obtain visas for foreign executives or investors. You must also consider having at least 5 Panamanian employees on your payroll. In addition to the Operations Key and the electronic commercial movement declaration, your company must leave a guarantee deposit of $5,560, make an annual payment of $2,400 for the operation permit, and additional costs include garbage collection and security, which will be based on the square meters of your premises.

Establish through a Represented Company

In this case, you can partner with a company established in the Free Zone so that they represent you in Panama and you can sell and/or distribute your merchandise wholesale. Generally, these are Logistics Companies that provide this service, as they are in charge of receiving, storing, packaging, and distributing your products throughout the American continent. You do not need a physical presence in Panama or a lease agreement, but approval from the Administration for its operation is mandatory. In addition to the Operations Key and the electronic commercial movement declaration, your company must leave a guarantee deposit of $5,560, make an annual payment of $2,400 for the operation permit, and additional costs include garbage collection and security, which will be based on the square meters of your premises.

Contract to Store Merchandise

In this case, the Administration makes the product storage service in the Public Warehouse of the Free Zone available to users. The cost of the service will depend on the volume of stored merchandise, which is usually a monthly payment, and the company will only have to pay the annual cost of the Operations Key. No other additional payment would be generated here; for this, the company must first register with the Free Zone authorities.

Lease contract for a Commercial Premise or Lot for construction

In this case, the Free Zone Administration will lease you an available commercial premise or rent you an empty plot of land so that your company can build its own facilities according to ZOLICOL regulations. The lease contract will have a duration of 20 years, and its cost will depend on the area of the store or land you choose. You must leave a security deposit equivalent to 3 months of rent, and additional costs include garbage collection and security, which will be based on the square meters of your premises.
